Explanation of Responses:

1. As a result of a sale on February 20, 2013 by affiliates of Apollo Management Holdings L.P. ("Apollo") of 25 million shares of the issuer, 309,871 shares of the reporting person's restricted stock automatically vested under the terms of his restricted stock agreement. 129,990 shares were withheld by the issuer to satisfy the issuer's tax withholding obligations.

2. Includes 114,763 restricted stock units granted pursuant to the issuer's long-term incentive plan. Of those, 57,382 vest on May 14, 2013 and 57,381 vest on May 14, 2014. Also includes 736,824 shares of restricted stock that vest in full on May 14, 2014 subject to earlier (i) forfeiture or (ii) automatic vesting as a result of sales of the issuer's shares by affiliates of the issuer.
