SMITH, AND JENESE BECKSTROM, or any of them acting individually, and with full power of substitution and re-substitution, the undersigned's true and lawful attorney in fact (each of such persons and their substitutes being referred to herein as the "Attorney-in-Fact"), with full power to act for the Reporting Person and in the Reporting Person's name, place and stead, in any and all capacities, to: 1.
