Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
     
On November 26, 2019, Northwest Bancshares, Inc. (the "Company") and Michael G. Smelko, the Company's Executive Vice President and Chief Credit Officer, announced that Mr. Smelko resigned, effective December 10, 2019, due to personal reasons and to pursue other career opportunities. Mr. Smelko's decision was not based on any disagreements between the Company and Mr. Smelko on any matters relating to the Company's policies or practices. Mr. Smelko joined the Company in 1997.
