1. These securities constitute components of a unit. Each unit is composed of one common share, one-half of one Series A Warrant and one-half of one Series B Warrant. One Series A Warrant or one Series B Warrant may be exercised to purchase one common share of the Company.
2. The exercise price of each Series A Warrant is CDN$1.25.
3. The exercise price of each Series B Warrant is CDN$1.50.
Remarks:
(1) AvantaLion LLC is a Delaware limited liability company that is controlled by Mr. Charles B. Wang, the Chairman of NeuLion, Inc. (2) The amendment is made to correct the date of the event requiring the filing of the Form 3 from June 8, 2009 to October 1, 2010.
