(b) On September 8, 2020, Todd D. Sims resigned effective September 14, 2020 from the Board of Directors (the “Board”) of B. Riley Financial, Inc. (the “Company”). Mr. Sims has agreed to serve as the President of B. Riley Venture Investments, LLC, a newly formed subsidiary of the Company (“BRVI”). BRVI will pursue a range of investments in emerging growth companies. Mr. Sims resignation from the Board was not due to any disagreement with the Company or any of its affiliates on any matter relating to the Company’s operations, policies or practices, or otherwise.
