6. The shares are held in a trust for the benefit of Mr. Simon's children. Mr. Simon is trustee of the trust.
7. The shares subject to the option vest in four equal annual installments beginning on November 9, 2008, such that 100% of the shares subject to the option will be fully vested on November 9, 2011.
