Explanation of Responses:
1. The sales reflected in this Form 4 were effected pursuant to a Rule 10b5-1 trading plan adopted by the reporting person.
2. The shares were issued upon the exercise of options by the reporting person (described in Table II) and then immediately sold.
3. The shares that were issued upon the exercise of options by the reporting person were immediately sold, as is presented in Table I.
4. One-half of the options will become fully exercisable in four equal annual installments beginning on November 17, 2012, provided that the issuer satisfies the applicable specified stock price increase targets. Subject to the reporting person's continued employment with the issuer, the remaining options will become exercisable in five equal annual installments beginning on November 17, 2012. Assuming all stock price increase targets are satisfied, the options will become fully exercisable on November 17, 2016.
5. This number represents the partial exercise of options issued to the reporting person in November 2011 to purchase shares of common stock, par value $0.01 per share, of Mattress Firm Holding Corp.
6. Includes options to purchase shares of common stock, par value $0.01 per share, of Mattress Firm Holding Corp. having varying exercise dates, expiration dates and exercise prices.
7. Pursuant to General Instruction 4(c)(iii) of Form 4, the exercise price is reported in Column 2 of this Table II.
