Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 9, 2020, First Foundation Inc. (the “Company”) announced that John Michel will resign as Chief Financial Officer of the Company and its subsidiaries, including First Foundation Bank and First Foundation Advisors, effective as of April 30, 2020, or at such earlier date as the Company may elect. At the Company’s request, Mr. Michel has agreed to serve as Chief Financial Officer until May 8, 2020.

Scott K. Kavanaugh, the Company’s Chief Executive Officer, will assume Mr. Michel’s duties on an interim basis beginning on May 8, 2020. Biographical and other information about Mr. Kavanaugh required by Item 5.02(c) of Form 8-K is included in the Company’s definitive proxy statement on Schedule 14A filed with the U.S. Securities and Exchange Commission on April 24, 2020. No new compensatory arrangements have been entered into with Mr. Kavanaugh in connection with his interim service as the Company’s principal financial officer.
