Explanation of Responses:

1. Represents a pro rata distribution of securities to certain members of Trust Acquisition Company, LLC ("Trust Acquisition").

2. These securities are held directly by Trust Acquisition, Edward A. Mule, Robert J. O'Shea and Michael Gatto. Silver Point Capital, L.P. ("Silver Point") is the sole manager of Trust Acquisition and by virtue of such status may be deemed to be an indirect beneficial owner of the reported securities. Each of Messrs. Edward A. Mule, Robert J. O'Shea and Michael Gatto are also partners of Silver Point. Each of Trust Acquisition and Messrs. Edward A. Mule, Robert J. O'Shea and Michael Gatto disclaim beneficial ownership of the reported securities, except to the extent of their pecuniary interests therein.
