(2) Represents an additional 4,173,959 shares of Common Stock available for issuance under the Registrant’s 2007 Equity Incentive Plan, as a result of provisions in the Registrant’s 2007 Equity Incentive Plan that allow for the automatic annual increase of Common Stock available for issuance under such plan.

This Registration Statement registers additional shares of the Registrant’s Common Stock to be issued pursuant to the Registrant’s 2007 Equity Incentive Plan. Accordingly, the contents of the previous Registration Statements on Form S-8 filed by the Registrant with the Securities and Exchange Commission (the “Commission”) on September 9, 2011 (File No. 333-176760), March 12, 2010 (File No. 333-165436), May 11, 2009 (File No. 333-159132) and December 4, 2007 (File No. 333-147830) are incorporated by reference into this Registration Statement pursuant to General Instruction E of Form S-8.
