Item 1.  Security and Issuer

This Amendment No. 1 to Schedule 13D (this "Amendment") amends the Statement on Schedule 13D dated November 13, 2006 (the "Schedule 13D"), filed by Songyan Li, an individual residing in the People's Republic of China, with respect to the beneficial ownership of common stock, $0.001 par value per share (the "Common Stock"), of Agfeed Industries, Inc., a Nevada corporation, which has its principal executive offices at Suite A1001-1002, Tower 16, Hengmao Int'l Center, Nanchang City, Jiangxi Province, China 330003 (the "Issuer").  This Amendment is being filed to reflect the reporting person's holding less than 5% of the Common Stock of the Issuer as a result of the issuance by the Issuer of additional shares of Common Stock since the date of the Schedule 13D.

(b)     The response of Dr. Li to Items (7) through (10) on the cover page of this Amendment are incorporated herein by reference.

(e)     As a result of the issuance of additional shares of the Issuer's Common Stock in a series of transactions since the date of the Schedule 13D, Dr. Li ceased to be the beneficial owner of more than 5% of the Issuer's Common Stock.
