Explanation of Responses:

1. Lauren Krueger is a Managing Member of Esopus Creek Advisors LLC, which is the General Partner of Esopus Creek Value Series Fund LP - Series A and Esopus Creek Value Series Fund LP - Series L (together, the "Esopus Funds"). Accordingly, she may be deemed presently to beneficially own, but only to the extent she has a pecuniary interest in, the shares of Trinity Place Holdings Inc. common stock presently owned by the Esopus Funds. Ms. Krueger disclaims beneficial ownership of the reported securities except to the extent of her pecuniary interest therein.
