Explanation of Responses:

1. Constitutes restricted stock granted pursuant to the Company's Amended and Restated 1998 Stock Plan. Ten thousand (10,000) shares will vest in three equal installments on September 30, 2007, September 30, 2008 and September 30, 2009. Up to one-half of the remaining ten thousand (10,000) shares will vest in the first quarter of 2008 if the Company's financial performance during the 2006-2007 periods achieves certain cumulative targets. All (or the remaining) shares of restricted stock subject to this grant will vest in the first quarter of 2009 if the Company's financial performance during the 2006-2008 period achieves certain cumulative targets. All vesting is contingent upon the Reporting Person continuing to be employed by the Company on the scheduled vesting dates.
