1. Represents shares directly held by SRB Greenway Opportunity Fund, (QP), L.P. (2,347,997 shares) and SRB Greenway Opportunity Fund, L.P. (290,201 shares), which Mr. Drapkin may be deemed to beneficially own as he is a co-managing member of BC Advisors, LLC which is the general partner of SRB Management, L.P. (of which Mr. Drapkin is a limited partner), and SRB Management, L.P. is the general partner of, and investment manager for, each of SRB Greenway Opportunity Fund, (QP), L.P. and SRB Greenway Opportunity Fund, L.P. Mr. Drapkin disclaims beneficial ownership in such shares of common stock, except to the extent of his pecuniary interest therein.
