Other Events

On May 15, 2015, GW Pharmaceuticals plc (the “Company”) announced that the underwriters of its recently closed public offering on the NASDAQ Global Market have exercised in full their option to purchase an additional 240,000 American Depositary Shares (“ADSs”) at a price to the public of $112.00 per ADS, raising additional net proceeds of approximately $25.3 million, after deducting underwriting discounts and commissions and estimated offering expenses. On May 19, 2015, the Company announced that it has appointed Julian Gangolli as President, North America and is also relocating its Chief Executive Officer, Justin Gover, to the United States. The press release is attached as Exhibit 99.2 and is incorporated by reference herein.
