Item 1.01 Entry into a Material Definitive Agreement.

 

On March 17, 2016, Synergy Pharmaceuticals Inc. (the “Company”) entered into separate, privately-negotiated exchange agreements with certain holders (the “Holders”) of the Company’s 7.50% Convertible Senior Notes due 2019 (the “Notes”). Under the exchange agreements, the Holders agreed to exchange an aggregate principal amount of $79.7 million of Notes and accrued but unpaid interest in an aggregate amount of $2.4 million held by them in exchange for shares of the Company’s common stock, par value $0.0001 per share (the “Common Stock”). Upon the consummation of the transactions contemplated by the exchange agreements, the Company expects to issue approximately 33.3 million shares of Common Stock, which amount will be subject to adjustment based on the trading prices of the Common Stock over a five trading day averaging period beginning on March 18, 2016.

 

The transaction is expected to close on or about March 25, 2016, subject to customary closing conditions. Immediately following the exchanges of the Notes contemplated by the exchange agreements, $71.5 million in aggregate principal amount of the Notes will remain outstanding.

The Shares were issued to “qualified institutional buyers” within the meaning of Rule 144A promulgated under the Securities Act of 1933, as amended (the “Securities Act”), and were offered and sold in reliance on the exemption from registration afforded by Section 4(a)(2) of the Securities Act and corresponding provisions of state securities laws.
