Granted on 02/07/2006, the Restricted Stock Units will vest in equal installments on the first, second and third anniversaries of the grant date and will be deliverable in equal installments on the third, fourth and fifth anniversaries of the grant date. Each unit represents a right to receive one share of Common Stock or an amount equal to the fair market value of the Common Stock underlying the unit on the vesting date. Payment may be made in cash, shares of Common Stock or a combination thereof, in the sole discretion of the Compensation Committee.
2. Granted on 02/09/2007, the Restricted Stock Units will vest in equal installments on the first, second, third and fourth anniversaries of the grant date. Each unit represents a right to receive one share of Common Stock or an amount equal to the fair market value of the Common Stock underlying the unit on the vesting date. Payment may be made in cash, shares of Common Stock or a combination thereof, in the sole discretion of the Compensation Committee.
