Explanation of Responses:
1. This Form 4 is being filed by Praetorian Capital Management LLC, a Delaware Limited Liability Company (the "Management Company") which serves as investment manager or advisor to Praetorian Offshore Ltd. (the "Fund") with respect to the shares identified in this filing. The Management Company makes the investment and voting decisions on behalf of the Fund but owns no direct investments in the securities of the Issuer. The Fund directly owns the shares of the Common Stock of the Issuer but does not make any decisions as to voting or buying or selling shares of the Issuer. Praetorian Offshore Ltd. owns 4,035,836 shares, of which 93,614 were acquired via an exercise of in-the-money warrants on October 12, 2009. Until the exercise date of October 12, 2009, Praetorian Offshore Ltd. owned a warrant allowing it to purchase 93,614 shares
2. On September 24, 2009, Timberline Resources Corp. announced a change in the terms of the warrant described in this fliing. See the Company's 8-K dated September 24, 2009. The warratnt was re-priced from an exercise price of $3.50 to an exercise price of $0.50. The expiration date of the warrant was alse extended from September 29, 2009 to October 16, 2009.
