Explanation of Responses:

1. Reflects direct ownership of the reporting person at the end of Issuer's Fiscal Year following the acquisition of gifts of 1,445 shares and disposal by gift of 17,352 shares in the two transactions described above.

2. The reported securities are the reporting person's pecuniary interest in shares of Tri City Bankshares Corporation held by NDC, LLC, a limited liability company, of which his wife, Kathleen McGarry, is a minority owner.

Remarks:

As a member of a group which may be deemed to be a 13(d) group which together holds more than 10% ownership.
