1. This Form 3 is being amended to accurately reflect 3,425,500 shares of common stock held of record by Mr. Gardner

2. Pro Business Trust holds of record an aggregate 800,000 shares of restricted common stock of Zoro. Harold Gardner is the sole director and officer of Pro Business Trust and has sole voting and dispositive power.
