Explanation of Responses:
1. Represents unvested shares of restricted stock granted on May 24, 2007 pursuant to the Company's 2005 Stock Incentive Plan. These shares will vest in three equal annual installments on each of May 24, 2009, May 24, 2010 and May 24, 2011.
2. Represents shares of restricted stock granted on August 18, 2008 pursuant to the Company's 2005 Stock Incentive Plan. These shares will vest in four equal annual installments, beginning on the first anniversary of the date of grant. As of the date hereof, none of these shares have vested.
3. Represents shares of restricted stock granted on March 27, 2009 pursuant to the Company's 2005 Stock Incentive Plan. These shares will vest in four equal annual installments, beginning on the first anniversary of the date of grant. As of the date hereof, none of these shares have vested
4. These stock options were granted on February 9, 2005 pursuant to the Company's 2004 Stock Option Plan. With respect to each of these stock options, the exercise period is the one-year period ending upon its expiration date.
5. The stock option was granted on July 22, 2005 pursuant to the Company's 2005 Stock Incentive Plan and will vest and become exercisable in four equal annual installments, beginning on the first anniversary of the date of grant. As of the date hereof, 3,750 of the shares underlying the stock option have vested.
6. The stock-settled stock appreciation right was granted on May 24, 2007 pursuant to the Company's 2005 Stock Incentive Plan, and will vest and become exercisable in four equal annual installments, beginning on the first anniversary of the date of grant. As of the date hereof, 815 of the shares underlying the SAR have vested.
7. The stock-settled stock appreciation right was granted on August 18, 2008 pursuant to the Company's 2005 Stock Incentive Plan, and will vest and become exercisable in four equal annual installments, beginning on the first anniversary of the date of grant. As of the date hereof, none of the shares underlying the SAR have vested.
