The amount reported represents the pecuniary interest of Mr. Ginsberg in the shares of Common Stock of Eagle Bulk Shipping Inc. owned of record by Eagle Ventures LLC by virtue of Mr. Ginsberg's status as a member of Eagle Ventures LLC. Mr. Ginsberg disclaims beneficial ownership of the securities reported herein except to the extent of his pecuniary interest therein, and the inclusion of these securities in this report shall not be deemed to be an admission that Mr. Ginsberg has beneficial ownership of such securities for purposes of Section 16 of the Securities Exchange Act of 1934, as amended, or for any other purposes.
