Explanation of Responses:

1. Shares acquired from the insider's grantor-retained annuity trust ("GRAT") in exchange for cash.

2. Held by Sam K. Reed 2008 Trust and Victoria P. Reed 2008 Trust, as Tenants in Common. 10,041 shares that were previously directly held by the insider were transferred into this Tenants in Common account since the last filed report. In addition, 47,484 shares previously held by a GRAT of the insider were distributed by the terms of the GRAT since the last filed report and are currently held in the Tenants in Common account.

3. The 18,261 shares in the transaction reported on this form were previously held by the insider's GRAT and were transferred to the Sam K. Reed 2008 Trust and Victoria P. Reed 2008 Trust, as Tenants in Common.
