Explanation of Responses:

1. Shares owned by a former reporting person, Lester Shapiro (recently deceased), were transferred to the Shapiro Family L.P. - Gift Share for the benefit of Lester Shapiro's sons, Nathan Shapiro, Norton Shapiro and Robert Shapiro. Each of these three persons shares beneficial ownership of these shares and, accordingly, these shares will be reported as a part of the indirect holdings of each of the three beneficiaries under separate Form 4 filings.
