Explanation of Responses:
1. Includes 726 shares of Issuer's Common Stock acquired under Issuer's employee stock purchase plan on June 25, 2004 and 1 share of Issuer's Common Stock acquired under Issuer's employee stock purchase plan on December 29, 2001.
2. Only vested options may be exercised. The vesting schedule is 500 of the shares granted were vested and exercisable on 10/08/1999; 500 of the shares granted were vested and exercisable on 10/08/2000; 1000 of the shares granted were vested and exercisable on 10/08/2001; the remaining 3000 shares under the option were vested and exercisable on 10/08/2002.
3. Only vested options may be exercised. The vesting schedule is 25% of the shares granted were vested and exercisable on 6/03/2000; 25% of the shares granted were vested and exercisable on 6/03/2001; 25% of the shares granted were vested and exercisable on 6/03/2002; the remaining 25% of the shares under the option were fully vested on 6/03/2003.
4. Only vested options may be exercised. The vesting schedule is 3000 of the shares granted were vested and exercisable on 8/04/2000; 2250 of the shares granted were vested and exercisable on 8/04/2001; 750 of the shares granted were vested and exercisable on 8/04/2002; the remaining 3750 shares under the option were fully vested on 8/04/2003.
5. Only vested options may be exercised. The vesting schedule is 25% of the shares granted were vested and exercisable on 12/05/1997; the remaining 75% of the shares under the option vest monthly over the next 36 months so that the shares are fully vested on 12/05/2000.

10. Only vested options may be exercised. The vesting schedule is 2462 of the shares granted were vested and exercisable on 4/03/2001; the remaining 2930 shares under the option are fully vested on 4/03/2002.
11. Only vested options may be exercised. The vesting schedule is 1989 of the shares granted were vested monthly so that the shares are fully vested and exercisable on 12/03/2004; 2500 of the shares granted were vested monthly so that the shares are fully vested and exercisable on 12/03/2005; the remaining 834 of the shares under the option vest monthly over the next 12 months so that the shares are fully vested on 4/03/2006.
12. Only vested options may be exercised. The vesting schedule is 1214 of the shares granted were vested and exercisable on 10/03/2003; the remaining 1250 shares under the option vested monthly over 12 months so that the shares were fully vested on 10/03/2004.
13. Only vested options may be exercised. The vesting schedule is 25% of the shares granted were vested and exercisable on 8/07/2003; the remaining 75% of the shares under the option vest monthly over the next 36 months so that the shares are fully vested on 8/07/2006.
14. Only vested options may be exercised. The vesting schedule is 25% of the shares granted vest and are exercisable on 10/06/2005; the remaining 75% of the shares under the option vest monthly over the next 36 months so that the shares are fully vested on 10/06/2008.
15. Only vested options may be exercised. The vesting schedule is 25% of the shares granted were vested and exercisable on 10/24/2004; the remaining 75% of the shares under the option vest monthly over the next 36 months so that the shares are fully vested on 10/24/2007.
16. Only vested options may be exercised. The vesting schedule is 850 of the shares granted were vested and exercisable on 2/21/2003; the remaining 708 of the shares under the option were vested and exercisable on 12/21/2003.
17. Only vested options may be exercised. The vesting schedule is 850 of the shares granted were vested and exercisable on 8/15/2002; 850 of the shares granted vested monthly over 12 months so that the shares were fully vested on 8/15/2003; the remaining 283 shares under the option vested monthly over the next 4 months so that the shares were fully vested on 12/15/2003.
18. Only vested options may be exercised. The vesting schedule is 2538 of the shares granted were vested and exercisable on 4/03/2001; the remaining 2070 shares under the option were fully vested on 4/03/2002.
19. Only vested options may be exercised. The vesting schedule is 2500 of the shares were granted and exercisable on 4/03/2003; 1666 of the shares vested monthly over 12 months so that the shares were fully vested on 12/03/2003; the remaining 511 shares vested monthly over 12 months so that the shares were fully vested on 12/03/2004.
20. Only vested options may be exercised. The vesting schedule is 1250 of the shares granted were vested and exercisable on 10/03/2001; 1250 of the shares granted were vested and exercisable on 10/03/2002; the remaining 36 shares under the option were fully vested on 10/03/2003.
