Explanation of Responses:
1. On August 7, 2020 Mr. Beshar exercised 173,842 options that were granted to him in 2012 and 169,355 options that were granted to him in 2013 and thereby increased his net ownership of MMC common stock by 124,434 from 352,994 to 477,428 shares. 109,107 shares were used to satisfy the exercise price and applicable taxes for the options granted in 2012 and 109,656 shares were used to satisfy the exercise price and applicable taxes on the options granted in 2013 in exempt transactions.
2. These options were granted on February 24, 2012 and vested in four equal annual installments on February 24th of 2013, 2014, 2015 and 2016.
3. These options were granted on February 25, 2013 and vested in four equal annual installments on February 25th of 2014, 2015, 2016 and 2017.
