Explanation of Responses:

1. These shares are held directly by Gordon Family Revocable Trust, a ten percent owner of ReachLocal, Inc., and indirectly by Zorik Gordon and Ilana P. Gordon as trustees of the trust.

2. The shares subject to this option vest according to the following schedule: 20% of the total number of shares vest on the first anniversary of the May 7, 2008 vesting start date (the "Vesting Start Date") and pro-rata monthly thereafter. This Stock Option is completely vested on the fifth anniversary of the Vesting Start Date.
