Explanation of Responses:

1. On a Form 4 filed on April 18, 2011, Dr. Kuntz reported an indirect beneficial ownership in shares of common stock and warrants to acquire shares of common stock of Tengion, Inc. held by Medtronic, Inc. Dr. Kuntz is Medtronic, Inc.'s Senior Vice President and Chief Scientific, Clinical and Regulatory Officer. Pursuant to safe harbor set forth in Rule 16a-1(a)(2)(iii), Dr. Kuntz is not deemed to have a pecuniary interest in the securities held by Medtronic, Inc. and therefore was not required to file such Form 4 for that transaction. Therefore, such Form 4 was filed in error and should be considered withdrawn.
