Options granted under the 1994 ITT Industries Incentive Stock Plan exercisable upon the earlier of 1/3 on the first anniversary date; 1/3 on the second anniversary date and 1/3 on the third anniversary date or a 25% increase in the closing price above the option price on the NYSE for 10 consecutive trading days. Options under this award became exercisable on 09/16/1997.
2.
