Item 8.01 - OTHER EVENTS

On September 28, 2004, Real Mex Restaurants, Inc., a Delaware corporation (the "Company") commenced an exchange offer relating to its outstanding 10% Senior Secured Notes Due 2010.  On October 22, 2004, the Company issued a press release announcing (i) the temporary suspension of the use of the Company's exchange offer prospectus and (ii) that the exchange offer, which was initially scheduled to expire on October 27, 2004, had been extended until 5:00 p.m., E.S.T. on November 30, 2004.  Additionally, on November 30, 2004, the Company issued a press release announcing that it had extended the expiration date of the exchange offer until 5:00 pm, E.S.T. on December 20, 2004.

On December 20, 2004, the Company announced that it had extended the expiration date for its previously announced exchange offer until 5:00 p.m., E.S.T. on January 19, 2005.  The press release issued by the Company detailing the extended expiration date is attached as Exhibit 99.1 to this report.
