Item 1.01 Entry Into a Material Definitive Agreement.

 

On June 6, 2019, Ares Capital Corporation (the “Company”) entered into the Second Amended and Restated Investment Advisory and Management Agreement (the “Restated Advisory Agreement”) with its investment adviser, Ares Capital Management LLC (the “Investment Adviser”). The Restated Advisory Agreement is substantially the same as the prior Amended and Restated Investment Advisory and Management Agreement, except that the Investment Adviser’s annual base management fee calculated thereunder has been reduced from 1.50% to 1.00% per annum with respect to assets financed using leverage over 1.0x debt to equity.
