Preliminary Note: This Amendment No. 1 to Schedule 13D amends the Schedule 13D initially filed on July 12, 2007 (collectively, with all amendments thereto, the “Schedule 13D”).

 

This Schedule 13D reports that effective as of August 22, 2007, Andrew J. M. Spokes became a managing member of Farallon Partners, L.L.C., Farallon Capital Management, L.L.C., Noonday G.P. (U.S.), L.L.C. and Noonday Capital, L.L.C., four of the Reporting Persons listed below, and as such may be deemed to be a beneficial owner of the securities beneficially owned by such entities as of such date.

 

This Schedule 13D reports that effective as of September 10, 2007, Chun R. Ding resigned as a managing member of Farallon Partners, L.L.C. and Farallon Capital Management, L.L.C., and as such may no longer be deemed to be a beneficial owner of the securities beneficially owned by such entities as of such date.

 

Item 2. Identity And Background

Item 2 of the Schedule 13D is amended and restated as follows:

(a)          This statement is filed by the entities and persons listed below, all of whom together are referred to herein as the “Reporting Persons.”

 

The Noonday Sub-adviser Entities

Noonday G.P. (U.S.), L.L.C., a Delaware limited liability company which is a sub-investment adviser to each of the Funds and the Managed Accounts (the “First Noonday Sub-adviser”), with respect to all of the Shares held by the Funds and the Managed Accounts;

Noonday Asset Management, L.P., a Delaware limited partnership which is a sub-investment adviser to each of the Funds and the Managed Accounts (the “Second Noonday Sub-adviser”), with respect to all of the Shares held by the Funds and the Managed Accounts; and

Noonday Capital, L.L.C., a Delaware limited liability company which is the general partner of the Second Noonday Sub-adviser (the “Noonday General Partner”), with respect to all of the Shares held by the Funds and the Managed Accounts.

 

The First Noonday Sub-adviser, the Second Noonday Sub-adviser and the Noonday General Partner are together referred to herein as the “Noonday Sub-adviser Entities.”

The principal business of the Noonday General Partner is to act as the general partner of the Second Noonday Sub-adviser. The principal business of the Management Company is that of a registered investment adviser. The principal business of the Farallon General Partner is to act as the general partner of the Farallon Funds and the managing member of the Noonday Fund. The principal business of each of the Individual Reporting Persons is set forth in Annex 1 hereto.

 

(d)          None of the Funds, the Noonday Sub-adviser Entities, the Management Company, the Farallon General Partner or the Individual Reporting Persons has, during the last five years, been convicted in a criminal proceeding (excluding traffic violations or similar misdemeanors).

Item 4. Purpose Of The Transaction

 

Item 4 of the Schedule 13D is amended and updated as follows:

As reported by the Company, on July 2, 2007, the Company entered into the Agreement and Plan of Merger (as such agreement was amended as of August 30, 2007, the "Merger Agreement") with Hockey Parent Inc. (“Parent”), a Delaware entity formed by GSO Capital Partners LP (“GSO”) and its affiliates, and other entities named therein pursuant to which Parent will acquire all the equity of the Company by merging a wholly owned subsidiary of Parent with and into the Company (the “Merger”) subject to the terms and conditions set forth in the Merger Agreement, including but not limited to receipt of any required regulatory approvals and the affirmative vote of holders of a majority of the Company’s Shares as of the close of business on the record date for such shareholder vote. On September 10, 2007, the Second Noonday Sub-adviser, on behalf of certain of the Funds and/or Managed Accounts (together, the “Farallon Purchasers”), entered into an agreement with GSO to acquire, subject to the satisfaction of certain conditions, capital stock of Parent (the “Investment”). In connection with the Investment, the parties entered into a Letter Agreement (the “Letter Agreement”) pursuant to which the Farallon Purchasers have the right to satisfy their purchase commitment (i) with cash, (ii) by contributing to Parent all or a portion of their Shares in the Company (valued for purposes of this contribution at the same price per share that such Reporting Persons would have received if they had elected to receive cash in the Merger) or (iii) by any combination thereof. The Reporting Persons have not agreed as part of the Letter Agreement or otherwise to vote in favor of the Merger.

The foregoing summary of the Letter Agreement is qualified in its entirety by the full terms and conditions of the Letter Agreement which is filed as Exhibit 3 to the Schedule 13D and is incorporated by reference herein.

Also, the Reporting Persons have engaged in and may continue to engage in communications with, without limitation, one or more shareholders of the Company, one or more officers of the Company, one or more members of the board of directors of the Company, GSO and/or any other persons regarding the Company, including but not limited to the Company's operations and/or the Merger Agreement.

Except to the extent the foregoing may be deemed a plan or proposal, none of the Reporting Persons has any plans or proposals which relate to, or could result in, any of the matters referred to in paragraphs (a) through (j), inclusive, of the instructions to Item 4 of Schedule 13D. The Reporting Persons may, at any time and from time to time, review or reconsider their position and/or change their purpose and/or formulate plans or proposals with respect thereto.

Ladies and Gentlemen:

We refer to that certain Equity Commitment Letter (the "Commitment Letter") dated as of the date hereof between certain funds managed by or affiliated with Noonday Asset Management, L.P. (collectively, the "Investor") and GSO Capital Partners LP ("GSO") with respect to the Investment and Merger (each as defined below).

The Investor understands that GSO and its affiliates have formed a new Delaware corporation under the name "Hockey Parent Inc." ("Parent"), to acquire, directly or indirectly, all of the equity (the "Investment") of Reddy Ice Holdings, Inc., a Delaware corporation (the "Target Company"), by merging a wholly-owned subsidiary of Parent with and into the Target Company (the "Merger") pursuant to the terms and subject to the conditions set forth in the Agreement and Plan of Merger, dated as of July 2, 2007, by and among the Target Company, Parent and the other entities named therein (as such agreement was amended as of August 30, 2007, and as may be further amended, supplemented, modified or waived or from time to time following the date hereof).

Under the Commitment Letter, Investor is committing (subject to the terms and conditions set forth therein) to acquire capital stock of Parent. GSO hereby agrees with Investor that the Investor shall have the right to satisfy its commitment (i) with cash, (ii) by contributing to Parent all or a portion of its common stock in the Target Company (valued for purposes of this contribution at the same price per share that Investor would have received if it had elected to receive cash in the Merger) or (iii) by any combination thereof. The contribution by Investor of common stock in the Target Company in return for any common stock of the Parent shall be structured so as to satisfy the requirements of Section 351 of the Internal Revenue Code of 1986, as amended from time to time.

This letter agreement is, and is intended to be, a legally binding obligation of the parties hereto. This letter will be governed by, and construed and interpreted in accordance with, the laws of the State of New York applicable to contracts executed in and to be performed in that State. All claims, actions, proceedings, suits, complaints, petitions or other legal proceedings (collectively, "Actions") arising out of or relating to this letter will be heard and determined exclusively in any New York state or federal court sitting in the Borough of Manhattan of The City of New York. The parties hereto hereby (a) submit to the exclusive jurisdiction of any state or federal court sitting in the Borough of Manhattan of The City of New York for the purpose of any Action arising out of or relating to this letter brought by any party hereto, and (b) irrevocably waive, and agree not to assert by way of motion, defense, or otherwise, in any such Action, any claim that it is not subject personally to the jurisdiction of the above-named courts, that its property is exempt or immune from attachment or execution, that the Action is brought in an inconvenient forum, that the venue of the Action is

improper, or that this letter or the transactions contemplated hereby may not be enforced in or by any of the above-named courts.

Each of the parties hereto hereby waives to the fullest extent permitted by applicable law any right it may have to a trial by jury with respect to any litigation directly or indirectly arising out of, under or in connection with this letter or any of the transactions contemplated hereby.

This letter agreement may not be amended or modified except by an instrument in writing signed by each of the parties hereto. This letter agreement may be executed in any number of counterparts, any one of which need not contain the signatures of more than one party, but all of such counterparts together shall constitute one agreement.
