     This Amendment No. 6 amends and supplements the Tender Offer Statement on Schedule TO filed with the Securities and Exchange Commission (“SEC”) on May 9, 2007, as amended by Amendment No. 1 thereto filed with the SEC on May 23, 2007, Amendment No. 2 filed with the SEC on May 29, 2007, Amendment No. 3 filed with the SEC on June 1, 2007, Amendment No. 4 filed with the SEC on June 5, 2007, and Amendment No. 5 filed with the SEC on June 6, 2007 (“Schedule TO”) by Asset Acceptance Capital Corp., a Delaware corporation (“AACC”), in connection with the offer by AACC to purchase up to 1,858,000 shares of its Common Stock, par value $.01 per share (the “Shares”), at a price of not less than $18.25 per Share nor more than $20.00 per Share, net to the seller in cash, without interest, upon and subject to the terms and conditions set forth in the Offer to Purchase, dated May 9, 2007 (the “Offer to Purchase”), and the related Letter of Transmittal (the “Letter of Transmittal”), which together, as each may be amended or supplemented from time to time, constitute the “Offer” and which are appended to and filed with the Schedule TO as Exhibits (a)(1)(i) and (a)(1)(ii), respectively.
     All information in the Offer to Purchase and the Letter of Transmittal is hereby expressly incorporated in this Amendment No. 6 by reference in response to all of the applicable items in Schedule TO, except that such information is hereby amended and supplemented to the extent provided herein. Capitalized terms used herein but not otherwise defined have the meaning ascribed to such terms in the Offer to Purchase.
ITEM 6.    Purposes of the transaction and plans or proposals.
     The following new paragraph is added to Section 2 of the Offer to Purchase at the end of the section entitled “Plans and proposals” on page 20:
On June 11, 2007, a candidate orally accepted AACC’s offer of employment to become our chief operating officer, reporting to our Chairman, President and Chief Executive Officer. We anticipate that this candidate will join us within the next several weeks and that he will be appointed as an executive officer of AACC at a later date.
