Explanation of Responses:
1. Amount includes restricted units representing assignments of beneficial ownership of limited partnership interests in Alliance Capital Management Holding L.P. ("Holding Units") awarded to Reporting Person under the Amended and Restated Alliance Partners Compensation Plan in 1999 (6,145 Holding Units), 2000 (7,670 Holding Units), 2001 (4,185 Holding Units) and 2002 (2,906 Holding Units). Restrictions lapse on the 1999 award in equal annual increments on each of January 31, 2001, 2002, 2003, 2004, 2005 2004, 2005 and 2006. Restrictions lapse on the 2002 award in equal annual increments on each of January 31, 2004, 2005, 2006 and 2007.
2. Grant to Reporting Person of option to buy 10,000 Holding Units under the 1993 Unit Option Plan. The option vested in 20% increm ents on each of December 16, 1997, 1998, 1999, 2000 and 2001.
3. Grant to Reporting Person of option to buy 10,000 Holding Units under the Unit Option Plan. The option vested in 20% increments on each of December 16, 1998, 1999, 2000, 2001 and 2002.
