Supplementa Terms  for  2015-2016  Group  Management  Boar Performanc Shar Units Pla

 

The following  shar limits  and  vesting  provisions  shall  appl to  all  Awards  granted pursuant  to  the  Pla during  the  period  beginnin on  the  date  of  the  genera meeting  of shareholder o the  Compan in  2015  and  endin on  the  date  of  the  annua genera meeting  of shareholder o the  Compan to  b held  in  2016  (the  2015-2016  Pla Year”) All  othe terms and  conditions  of  the  Performanc Shar Units  ar a se forth  in  the  Plan,  including  but  not limite to  Section  thereof

 

1.                    Grant  of  Awards 

 

The value  of  th Awar shall  correspond  to  80%  o the  base  salar a the  date  of  the settlement  of  the  Awar for  all  member of  the  Group  Management  Boar of  the  Compan with the exception  of  the  Chie Executive  Office for  whom  the  above  percentage  shall  be  increased to 100%  of  the  base  salary

 

For  the  purpos of  the  above the  value  of  th Awar shall  be  calculate b using  the  relevant exchange  rate  o the  business  da precedin the  da o the  grant  (a publishe in  the  treasury serve https://web-treasury.appliarmony.net/servlet/Serv3?Forme=Form21)

 

I orde to  determine  the  amount  of  the  Award,  the  Volume-Weighte Averag Pric of  the  New Yor Stoc Exchange  of  the  business  da (VWAP precedin the  grant  shall  be  used.  I orde to calculate  the  numbe of  Performanc Shar Units  to  be  granted,  mathematic  rounding  shall  be applied. 

 

2.                    Vesting

 

(a)                  Eac Awar grante during  the  2015-2016  Pla Yea shall  vest  on  the  thre (3) yea anniversar of  the  date  on  whic the  Awar wa granted,  subjec to  the continue active  Employment  of  the  Participant  throug suc date  and  subjec to the achievement  of  the  performanc targets  describe hereafter eac of  which shall  determine  the  vesting  of  specifi portion  o the  Awar and  therefor shall be calculate separatel t determine  the  tota vesting

 

(b)                 The  performanc targets  for  eac Awar grante during  the  2015-2016  Pla Year and  the  portion  of  the  Awar conditione b eac of  the shall  be  a follows: 

 

(i)                   The vesting of fifty percent (50%) of the Award (the “TSR Award”) shall be subject to the Company achievement on Total Shareholder Return (TSR) over the vesting period, one half of which shall be determined by comparing the Company’s TSR to the median of the average TSR performance of the companies comprising a comparator group defined by the Committee (the “TSR Comparator Group Award Portion”), as measured over the three-year vesting period, and one half of which shall be determined by comparing the Company’s TSR to the TSR achieved by all of the companies forming the S&P 500 index (the “TSR S&P 500 Index Award Portion”), and

 

 


 

(ii)                 The  vesting  o the  remaining  fift percent  (50% of  the  Awar shall  be subjec to  the  Compan achievement  on  Earning Pe Shar ratio  (EPS) ove the  vestin period  relative  to  the  EP of  the  comparator  group define b the  Committe (the  EP Award”)

 

(c)                  The  performanc targets  applicable  to  the  TS Awar and  the  EP Awar shall be a follows: 

 

(i)                   With  respec to  the  TS Comparator  Group  Awar Portion,  the  threshold leve shall  be  80%  of  the  median,  the  targete leve shall  be  100%  of  the media and  the  stretc leve shall  be  120%  of  the  media of  the  average performanc realize b the  companie in  the  comparator  group  ove the thre year of  the  vesting  period, 

 

(ii)                 With  respec to  the  TS S& 500  Inde Award,  the  threshold  leve shall be 80%  of  inde performance the  targete leve shall  be  100%  of  the inde performanc and  the  stretc leve shall  be  2 bette tha the  inde

 

(iii)                With  respec to  the  EP Award,  the  threshold  leve shall  be  80%  of  the median,  the  targete leve shall  be  100%  of  the  media and  the  stretch leve shall  be  120%  of  th media of  the  averag performanc realize by the companie in  the  comparator  group  ove the  thre year of  th vesting period, 

 

(d)                 A the  end  of  the  vestin period  the  Committe shall  determine  the  leve of performanc achieve fo eac o the  performanc criteri and,  fo the  portion  of the awards  conditione b eac of  them,  the  Performanc Shar Units  tha shall vest  and  be  subjec to  settlement  for  the  eac Participant  shall  be  a follows

 

(i)                   N Performanc Shar Units  shall  vest  if  the  Committe determine that the achievement  reache for  the  performanc targe is  below  the  threshold leve defined. 

 

(ii)                 Performanc Shar Units  shall  vest  and  the  Participants  shall  have  the right  to  the  settlement  of  numbe of  share equa to  50%  of  the Performanc Shar Units  grante if  the  Committe determine tha the achievement  reache fo the  performanc targe is  a the  threshold  level defined. 

 

(iii)                Performanc Shar Units  shall  vest  and  the  Participants  shall  have  the right  to  the  settlement  of  numbe of  share equa to  100%  of  the Performanc Shar Units  grante if  the  Committe determine tha the achievement  reache fo the  performanc targe is  a the  targete level defined. 

 

(iv)                Performanc Shar Units  shall  vest  and  the  Participants  shall  have  the right  to  the  settlement  of  numbe of  share equa to  150%  of  the Performanc Shar Units  grante if  the  Committe determine tha the achievement  reache fo the  performanc targe is  a the  stretc level define or  above

 

For  performanc results  betwee threshold  and  stretc levels  of  th performance targets,  the  Committe shall  appl straight-line  interpolation  to  determine  the numbe of  Performanc Shar Units  tha shall  ves and  be  subjec to  settlement  for the Participants,  provide tha in  no  event  will  Participant  be  entitle to settlement  of  numbe o Performanc Shar Units  equa to  mor tha 150 of the Performanc Shar Units  grante to  the  Participant. 

 

(e)                  The  Committe shall  determine  whethe the  performanc criteria  have  bee met within  sixt (60 day fro the  vesting  date and  shall  infor eac Participant  of suc performanc a soo a practicable  thereafter

Pursuant  to  Section  17  of  the  Plan,  the  following  terms  and  conditions  shall  appl to  all Awards  issue to  an Participant  who  is  or  ma b subjec to  federal,  state  o loca ta in  respect of an Performanc Shar Units  grante pursuant  to  the  Pla during  the  2015-2016  Pla Yea (a U.S Participant”) With  respec to  eac U.S Participant,  in  the  event  of  an conflic between the terms  of  the  Pla and  this  Exhibit  1,  the  terms  of  this  Exhibit  shall  apply

 

1.                    Vesting  and  Settlement

 

All  Awards  grante to  U.S Participants  shall  be  settle within  tw and  one  half  months (75  calenda days following  the  date  on  whic suc Awar vests. 

 

2.                    Committe Discretion

 

With  respec to  Awards  grante to  U.S Participants,  the  Committee’ authorit with respec to  leave of  absenc a se forth  in  Section  4(d)  of  the  Pla shall  be  limite a follows:   the Committe shall  determine  whethe a authorize leave  of  absence or  absenc in  militar or government  service shal constitute  termination  of  Employment;  provide that,  no  payment  shall be made  with  respec to  an Awar tha is  subjec to  Section  409A  of  the  Code  a result  of  any suc authorize leave  o absenc o absenc in  militar or  government  servic unless  such authorize leave  or  absenc constitute separatio from  servic for  purpose of  Section  409A

 

3.                    Payments  b the  Company

 

With  respec to  Awards  grante to  U.S Participants,  the  Committe ma no accelerate the settlement  of  an Awar unless  an suc acceleration  would  be  permissible  unde Section 409A of  the  Code

 

4.                    Adjustments  Upon  Certain  Changes

 

N provision  of  Section  of  the  Pla shall  be  give effec with  respec to  Awards  granted to U.S Participants,  to  th extent  tha suc provision  would  cause  an ta t become  due  under Section  409A  of  the  Code

 

5.                    Amendment  or  Termination  of  the  Plan

 

With  respec to  Awards  grante to  U.S Participants,  no  provision  of  the  Boar of Directors’  right  to  amend  or  terminate  the  pla a provide in  Section  12  of  the  Pla shall  be give effec to  the  extent  tha suc provision  would  cause  an ta to  become  due  unde Section 409A of  the  Code

 

6.                    Certain  Limitations  on  Awards  to  Ensur Complianc with  Code  Section  409A

 

The Compan intends  tha the  Pla and  eac Awar grante hereunde tha is  subjec to Section  409A  of  the  Code  shall  compl with  Section  409A  of  the  Code  and  tha the  Pla shall  be interpreted,  operate and  administere accordingly I the  event  an ter and/or  condition  of  an Awar grante hereunde would  cause  the  application  of  a accelerate or  additiona ta due  by the Participant  unde Section  409A  of  the  Code suc ter and/or  condition  shall  be  restructured, to the  extent  possible in  manner determine b the  Committee tha doe not  cause  suc an accelerate or  additiona tax An reservation  of  rights  b the  Compan hereunde affectin the timing of  payment  of  an Awar subjec to  Section  409A  of  the  Code  (including without limitation,  the  rights  of
