1. The sales were effected in multiple transactions on February 29, 2008 as follows: 10,706 shares at $76.60, 200 shares at $76.38, 200 shares at $76.37, and 1,394 shares at $76.36.
2. The sales were effected in multiple transactions on February 29, 2008 as follows: 425 shares at $76.62, 1,000 shares at $76.61, and 2,575 shares at $76.60.
3. The sales were effected in multiple transactions on February 29, 2008 as follows: 8,925 shares at $76.65, 100 shares at $76.64, 300 shares at $76.63, and 675 shares at $76.62.
4. The sales were effected in multiple transactions on February 29, 2008 as follows: 200 shares at $76.67, 3175 shares at $76.66, and 1625 shares at $76.65.
5. The option to purchase 50,000 shares of common stock was awarded on January 24, 2003 under the MEMC Electronic Materials, Inc. 1995 Equity Incentive Plan in a transaction exempt under Rule 16b-3. The options became exercisable in 25% increments on January 24, 2004, January 24, 2005, January 24, 2006, and January 24, 2007, respectively.
6. The option to purchase 16,000 shares of common stock was awarded on July 25, 2003 under the MEMC Electronic Materials, Inc. 2001 Equity Incentive Plan in a transaction exempt under Rule 16b-3. The options became exercisable in 25% increments on July 25, 2004, July 25, 2005, July 25, 2006, and July 25, 2007, respectively.
7. The option to purchase 15,000 shares of common stock was awarded on January 26, 2004 under the MEMC Electronic Materials, Inc. 2001 Equity Incentive Plan in a transaction exempt under Rule 16b-3. The options became exercisable in 25% increments on January 26, 2005, January 26, 2006, January 26, 2007, and January 26, 2008, respectively.
8. The option to purchase 12,100 shares of common stock was awarded on July 26, 2004 under the MEMC Electronic Materials, Inc. 1995 Equity Incentive Plan in a transaction exempt under Rule 16b-3. The options become exercisable in 25% increments on July 26, 2005, July 26, 2006, July 26, 2007, and July 26, 2008, respectively.
9. The option to purchase 25,000 shares of common stock was awarded on October 27, 2004 under the MEMC Electronic Materials, Inc. 2001 Equity Incentive Plan in a transaction exempt under Rule 16b-3. The options become exercisable in 25% increments on October 27, 2005, October 27, 2006, October 27, 2007, and October 27, 2008, respectively.
10. The option to purchase 25,000 shares of common stock was awarded on February 16, 2005 under the MEMC Electronic Materials, Inc. 2001 Equity Incentive Plan in a transaction exempt under Rule 16b-3. The options become exercisable in 25% increments on February 16, 2006, February 16, 2007, February 16, 2008, and February 16, 2009, respectively.
11. The option to purchase 40,000 shares of common stock was awarded on July 26, 2005 under the MEMC Electronic Materials, Inc. 2001 Equity Incentive Plan in a transaction exempt under Rule 16b-3. The options become exercisable in 25% increments on July 26, 2006, July 26, 2007, July 26, 2008, and July 26, 2009, respectively.
12. The option to purchase 18,300 shares of common stock was awarded on January 25, 2006 under the MEMC Electronic Materials, Inc. 2001 Equity Incentive Plan in a transaction exempt under Rule 16b-3. The options become exercisable in 25% increments on January 25, 2007, January 25, 2008, January 25, 2009, and January 25, 2010, respectively.
13. The option to purchase 12,400 shares of common stock was awarded on July 25, 2006 under the MEMC Electronic Materials, Inc. 2001 Equity Incentive Plan in a transaction exempt under Rule 16b-3. The options become exercisable in 25% increments on July 25, 2007, July 25, 2008, July 25, 2009, and July 25, 2010, respectively.
14. The option to purchase 20,000 shares of common stock was awarded on January 24, 2007 under the MEMC Electronic Materials, Inc. 2001 Equity Incentive Plan in a transaction exempt under Rule 16b-3. The options become exercisable in 25% increments on January 24, 2008, January 24, 2009, January 24, 2010, and January 24, 2011, respectively.
