Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of the Company's common stock.

2. This restricted stock unit award was granted on June 9, 2014 as an automatic, nondiscretionary award under the Company's 2011 Equity Incentive Plan upon the reporting person's reelection to the Company's Board at the Company's 2014 Annual Meeting of Stockholders. This award vests as to 25% of the total granted shares underlying the award on each of September 9, 2014, December 9, 2014, March 9, 2015 and June 9, 2015. 5,000 of these restricted stock units were converted on a one-for-one basis into shares of Polycom, Inc. common stock following the vesting on June 9, 2015.
