Item 7.01.  Regulation FD Disclosure.

     On October 31, 2007, Conseco, Inc. (the "Company") announced an agreement
under which its Colonial Penn Life Insurance Company subsidiary will recapture a
block of approximately $50 million of annualized traditional life insurance
premium in force that had been ceded in 2002 to Reassure America Life Insurance
Company, an affiliate of Swiss Reinsurance Company. A copy of the Company's
press release is filed as Exhibit 99.1 to this Current Report on Form 8-K.
