Explanation of Responses:

1. Includes 32,620 shares acquired under the Ikanos Communications, Inc. 2004 Employee Stock Purchase Plan between May 2, 2011 and November 3, 2014.

2. The transaction reported on this form represents the vesting of restricted stock units granted on June 9, 2014 and the withholding of shares to satisfy the tax withholding obligation associated with the vesting.

3. The restircited stock units are convertible on a one-for-one basis into Common Stock upon vesting.

4. 50% of this grant vested on January 26, 2015, and the remaining 50% will vest on April 23, 2015, subject to continued service by the Reporting Person through the applicable vesting date. Vested shares will be delivered on the applicable vesting date.

5. No expiration date.
