Explanation of Responses:

1. These shares were held by the Reporting Person and his spouse as husband and wife, as joint tenants with rights of survivorship. These shares were transferred by operation of law to the Reporting Person's spouse upon his death on December 5, 2005.

2. Includes 2,000,000 shares of Common Stock held by Masry & Vititoe, PC, of which the Reporting Person was a member and thus may be deemed to be the beneficial owner of the securities held by such entity. Also includes 60,000 shares of Common Stock held by the spouse of the Reporting Person issued on April 2, 2004, as previously reported, and the 1,000,000 shares of Common Stock described in footnote 1, above.
