1. The shares were issued to the reporting person in connection with certain loan guaranties given on behalf of the issuer. The $.40 per share is an arbitrary value based upon the last sale of shares by the issuer.

2. 900,560 shares are directly owned by Bruce J. Haber and the balance is directly owned by the Jessica L. Haber Trust in which Michela Haber is Trustee. Michela Haber is the wife of Bruce J. Haber.
