SPI Energy Co., Ltd. has experienced a delay in preparing the Form 20-F and the audited financial statements required in the Form 20-F for the year ended December 31, 2015 and needs additional time to complete the Form 20-F and the audited financial statements for the year ended December 31, 2015.

The Registrant expects comprehensive loss of approximately $162 million during the fiscal year ended December 31, 2015 as compared to comprehensive loss of approximately $9.3 million during the fiscal year ended December 31, 2014. The Registrant expects that its operating loss will be approximately $128 million for the fiscal year ended December 31, 2015, as compared to operating income of approximately $4.5 million for the fiscal year ended December 31, 2014. The expected comprehensive loss and operating loss are subject to change as the Registrant is still in process of completing the annual financial statements.
