Explanation of Responses:

1. OM Group (UK) Limited transferred 673,074 ordinary shares of OM Asset Management plc (the "Company") to Mr. Bain in exchange for a number of ordinary shares of Old Mutual plc held by Mr. Bain of equal value pursuant to an employee exchange program. No cash was exchanged. The exchange program valued the Company's ordinary shares at the price sold to investors in the initial public offering. The exchange program valued Old Mutual plc's ordinary shares using the weighted-average sale price of Old Mutual plc's ordinary shares over the three consecutive trading days on the London Stock Exchange up to and including the date of the Company's initial public offering.
