Explanation of Responses:
1. On September 5, 2012, the reporting person transferred to his wife a 40% pecuniary interest in 250,788 shares of Bristol-Myers Squibb common stock. For purposes of clarity, while the transfer is shown as a disposition, the transfer did not increase or decrease the number of shares reported as beneficially owned by the reporting person.
2. On September 7, 2012, the reporting person and his wife contributed their combined interest in the 250,788 shares to Sigal Family Investments, LLC ("SFI") in exchange for interests in SFI. The reporting person is the sole manager of SFI. The contribution of the shares to SFI effects only a change in the form of the reporting person's beneficial ownership of securities, without increasing or decreasing his pecuniary interest in the securities or transferring a pecuniary interest to another person, and is exempt from Section 16 (including the reporting requirements) by virtue of Rule 16a-13. The reporting person's indirect ownership in the shares contributed to SFI will be reflected on the reporting person's next Section 16 report covering non-derivative securities.
