Explanation of Responses:
1. The sale reported on this Form 4 was effected pursuant to a Rule 10b5-1 sales plan adopted by the reporting person on August 8, 2011.
2. Reflects the weighted average sale price. The range of prices for these transactions was $19.69 to $20.01. The reporting person effected multiple same-way open market sale transactions on the same day at different prices through a trade order executed by a broker-dealer. The reporting person has reported on a single line all such transactions that occurred within a one dollar price range. The reporting person hereby undertakes to provide, upon request by the Securities and Exchange Commission staff, the issuer or a shareholder of the issuer, full information regarding the number of shares sold at each separate price.
3. The options vest annually in four equal installments beginning on October 18, 2011.
4. The options vest annually in four equal installments beginning on October 20, 2010.
5. The options vest in four equal annual installments beginning on October 22, 2009.
6. Options are exercisable in four equal annual installments beginning on September 30, 2008.
