Explanation of Responses:

1. The shares of restricted stock will be issued, effective August 31, 2010, pursuant to an amendment of the officer's executive benefits agreement entered into as of August 20, 2010 and a restricted stock agreement and will vest, in full, on February 6,2011.

2. The options were cancelled by mutual agreement of the officer and AirTran Holdings,Inc. The parties agreed to cancel the options in connection with an amendment of the officer's executive benefits agreement, including the officer's right to receive the restricted stock grant disclosed in Table 1 of this form.

3. Total number of beneficially owned shares adjusted to reflect deduction of 13,530 performance shares which should not be considered beneficially owned as no ownership rights until 3 year vesting occurs.
