Explanation of Responses:

1. Reporting person's Form 4 filed February 10, 2004 contained a typographical error. The correct number of shares of issuer directly held by reporting person after aquisition of the 2,220 shares is 20,489. Reporting person's acquisition of 1,500 shares reported February 26, 2004 brings total of shares of issuer directly held by reporting person to 21,989.

2. Reporting person is sole beneficiary and trustee of Simeon Brinberg Defined Benefit Trust, which owns these shares.
