Explanation of Responses:
1. Filing individual engaged in a "Stock for Stock" exercise of 7,150 options. The exercise price, tax withholding and commission price were paid by surrendering 4,609 shares to the Company, which the filing individual has owned for a period of greater than 6 months. Following the exercise, the filing individual received 4,609 shares plus his gain (2,541 shares), which shares were sold on the open market. Additional information concerning "Stock for Stock" exercises can be found in a Form 8-K filed by the Company on May 1, 2002.
2. The 2,541 shares were sold in two installments, both on Friday, February 27, 2004. 1,041 shares were sold at $59.01 and 1,500 shares were sold at $59.00, for an average price of $59.004.
