Explanation of Responses:
1. Price reported is the average weighted price of shares sold. Shares were sold at varying prices in the range of $80.40 - $81.80. The reporting person hereby undertakes, upon request of the Commission, the issuer or a security holder of the issuer, to provide full information regarding the number of shares sold at each separate price.
2. Pursuant to the Company's 2008 Long-Term Incentive Plan, the reporting person holds 43,041 restricted share units which shall be exchanged for Class A Common Shares of the Company following the reporting person's retirement or termination of his employment under certain circumstances as set forth in a Restricted Share Unit Agreement between the Company and the reporting person.
3. Each restricted stock unit represents a contingent right to receive one SNI Class A Common Share.
4. The restriced stock units vest on 2/16/15.
5. The restricted stock units vest 1/3 on 8/1/14 and 2/3 on 8/1/15.
6. The restricted stock units vest equally on 2/14/15 and 2/14/16.
7. The restricted stock units vest on 3/15/15.
8. The restricted stock units vest in equal installments on 3/1/15, 3/1/16 and 3/1/17.
9. The restricted stock units vest 50% on 12/31/15 and 50% on 12/31/16.
