Explanation of Responses:

1. Represents shares withheld by Issuer to satisfy tax withholding liability.

2. Following the reported transaction, reporting person holds 66,404 shares directly and 194,089 shares held indirectly by the Mehrabian Living Trust, Robert Mehrabian and Victoria Ann Mehrabian, Trustees. Shares held directly include 29,154 restricted shares. Does not include 10,696 Restricted Stock Units.

3. Represents vesting of Restricted Stock Units issued to the reporting person on December 20, 2016. Each Restricted Stock Unit represents a contingent right to receive one share of Common Stock upon vesting. On December 20, 2017, one-third of the reporting person's Restricted Stock Units issued on December 20, 2016, vested and the Reporting Person received an equivalent number of shares of Common Stock.
